BeActive PROGRAM REGULATIONS

These Regulations define the general terms, conditions, and methods of sales conducted by Instytut Rozwoju Fitness sp. z o.o. with its registered office in Warsaw via the website www.ebeactive.pl (hereinafter referred to as the "Platform"), the rules for the use of the Card by Users, and the terms and conditions for the provision of electronic services by the Operator.

§1 Definitions

Subscription – a temporary right of the User to use the Card under the terms specified in the Regulations.

Account Deactivation – a factual action which the Operator is entitled to perform, consisting of the removal of all User data provided during Registration, resulting in the User losing the ability to use the Platform and the Card.

Business Days – means the days of the week from Monday to Friday, excluding public holidays.

Delivery – means a factual action consisting of enabling the use of the Card exclusively in electronic form on the User's mobile device (Virtual Card), available after logging into the User Account on the Platform.

Password – means a sequence of letters, digits, or other characters selected by the User during Registration on the Platform, used to secure access to the User Account.

User Account – means an individual panel for each User, activated on their behalf by the Operator after Registration.

Login – means the individual identification of the User, consisting of a sequence of letters, digits, or other characters, required along with the Password to set up a User Account. The User's e-mail address constitutes the Login.

Card – means a subscription card or another substitute form enabling the User to use the services covered by the Program; in particular, the Operator may provide exclusively a Virtual Card available after logging into the User Account, which the User displays on the screen of their mobile device for scanning at the Partner's sports or fitness facility. Provisions regarding the Card apply to the Virtual Card.

Operator – means Instytut Rozwoju Fitness sp. z o.o. with its registered office in Warsaw (02-801), ul. Puławska 427, NIP: 7010352371, REGON: 146273733, entered into the Register of Entrepreneurs of the National Court Register maintained by the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register under KRS number 0000431424; share capital in the amount of PLN 3,125,000, which is also the owner of the Platform. The Operator can be contacted by mail at the address above, by phone at +48 22 629 27 58 during helpline hours, and by e-mail at info@ebeactive.pl.

Partner – means an Entrepreneur, separate from the Operator, who provides services covered by the Program to Users under an agreement with the Operator.

BeActive Program / Program – an offer directed to Users to use the network of the Partner's sports and fitness facilities based on the Card and under the terms specified in the Regulations.

Entrepreneur – means a natural person, a legal person, or an organizational unit without legal personality to which the law grants legal capacity, conducting business or professional activity in its own name.

Regulations – means these regulations.

Registration – means a factual action performed in the manner specified in the Regulations, required for the User to use all functionalities of the Platform.

Platform Website – means the websites through which the Operator runs the Platform, operating in the domain www.ebeactive.pl.

Be Active Agreement – means a sales agreement concluded electronically under the terms specified in the Regulations between the User and the Operator, the subject of which is the ability to use the Program using the Card.

Account Management Agreement – means an agreement concluded electronically under the terms specified in the Regulations between the User and the Operator, the subject of which is the User's ability to use the Account.

User – means a natural person aged 16 to 26, having at least limited capacity for legal acts, who is a school pupil or a university student, holding a valid school or student ID, using the Program, Cards, or Platform for purposes not directly related to their business or professional activity.

§2 General Provisions

All rights to the Platform, including economic copyrights and intellectual property rights to its name, internet domain, and Website, belong to the Operator.

The Platform is provided by the Operator via the Internet as a resource of an ICT system.

It is prohibited for Users or third parties to use the Platform to send unsolicited commercial information (spam).

§3 Use of the Platform

Use of the Platform must occur exclusively on the terms and within the scope indicated in the Regulations.

To place an order for a Card and use other services, the User must have an active e-mail account.

The User is prohibited from providing unlawful content or using the Platform in a manner contrary to the law, good practices, or infringing on the personal rights of third parties.

The Operator never asks the User to provide their Password in any form.

§4 Registration

Registration is required for Users to use the Card within the Program.

During Registration, the User fills out a form, sets a Password, and must accept the Regulations and the Account Management Agreement.

The User is responsible for the truthfulness of the information entered into the registration form.

The User must make every effort to maintain the confidentiality of the Password and not share it with third parties.

§5 Card Order, Payment, and Use of the Program

Users may choose between:

Basic Card (BeActive Comfort) – access during hours specified in §6 sec. 5.

Extended Access Card (BeActive Open) – access during hours specified in §6 sec. 6.

When ordering, the User selects the card type, payment method, subscription period, and must import a photo of their valid school or student ID (both sides) and indicate its expiration date.

The Be Active Agreement is concluded upon the Operator's confirmation of the order.

Subscription prices are gross prices in Polish Złoty (PLN). The Operator issues an electronic invoice available in the User Account.

Payments are processed via the PayU external payment system.

§6 Rules for Using the Program and Card. Operator's Liability.

The Card is issued exclusively to the User who concluded the Agreement and cannot be shared with third parties.

The Operator is responsible for providing the Virtual Card and ensuring the availability of at least one Partner facility in designated major cities.

Comfort Card Access: Business Days from 8:00 AM (or opening) until 4:00 PM (entry must be registered by 4:00 PM). Weekends: no time limits.

Open Card Access: All opening hours of the Partner facility, every day.

Visit Limits: Minimum 240 minutes between visits to the same facility; minimum 30 minutes between different facilities.

Access to a facility requires the Card and a valid photo ID confirming identity and student/pupil status. Partners may refuse entry if documents are missing or invalid.

Users must comply with the internal regulations of the Partner's facility.

§7 Termination of the Be Active Agreement

The Agreement terminates upon expiry of the Subscription (if not extended), on the last day of the calendar year in which the User turns 26, upon loss of student/pupil status, or due to a breach of the Regulations by the User.

If the Agreement is terminated due to the User turning 26 or losing student status, the Operator will refund the fee for the unused period within 14 days.

Immediate termination (without notice) may occur if the User shares the Card with third parties or breaches safety regulations. In such cases, a contractual penalty equal to the remaining subscription fee may apply.

§8 Complaints

Complaints regarding the Account or the Be Active Agreement should be sent to info@ebeactive.pl.

The Operator shall consider complaints within 14 days.

Complaints regarding Partner services will be forwarded by the Operator to the relevant Partner for resolution.

§9 Withdrawal from the Be Active Agreement

The User may withdraw from the Agreement without giving a reason within 14 days of order confirmation, provided the Card has not been used.

Withdrawal is not possible after the first use of the Card in the Program.

§10 Refunds

Refunds are made within 14 days of the qualifying event via PayU to the original payment method.

The Operator may seek a fee of PLN 20.00 for each instance of Program use occurring after a withdrawal notice is submitted.

§11 Free Services under the Account Management Agreement

Free services include Account Management, Newsletter, and Social Portal services.

Users may unsubscribe from the Newsletter at any time.

By posting content on the Platform, the User grants the Operator a free license to use said content and warrants that they hold the necessary rights.

§12 Liability

Users use the services according to their health and physical condition.

The Operator is not liable for the User's failure to use the Program due to personal reasons such as illness or travel.

The User is liable for any damage caused to the Partner's or Operator's property.

§13 Reporting Violations

If any content on the Platform violates rights or good practices, the Operator should be notified.

The Operator will take prompt action to remove infringing content.

§14 Personal Data and Cookies

Detailed information on data processing is available in the Privacy Policy.

Cookies are used for technical functionality, offer development, and statistics. Users can disable cookies in their browser settings.

§15 Account Closure

A User may request account deletion at any time if no active Be Active Agreement is in place.

§16 Final Provisions and Amendments

The Regulations may be amended. Users will be notified of changes 14 Business Days in advance.

Agreements concluded before a change in Regulations are governed by the version in force at the time of conclusion, unless the User accepts the new version.

Polish law is the governing law for resolving disputes.

PROMOTION TERMS "3 months 50%"

(hereinafter the "Terms")

 

These terms set out the rules of the "3 months 50%" promotion organized within the BeActive program (hereinafter the "Promotion").

 

1. The organizer of the Promotion is Instytut Rozwoju Fitness Sp. z o.o. with its registered office in Warsaw (02-801), ul. Puławska 427, NIP: 7010352371, REGON: 146273733, entered into the Register of Entrepreneurs of the National Court Register maintained by the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register under KRS number 0000431424; e-mail: info@ebeactive.pl (hereinafter the "Organizer").

2. The Promotion consists in granting a 50% discount on the value of a three-month BeActive pass in the COMFORT or OPEN variant to persons who purchase such a three-month pass between July 8, 2026 at 00:01 and July 20, 2026 at 23:59 inclusive, according to the current offer.

3. A condition for using the Promotion is the purchase of a three-month (3) BeActive pass in the COMFORT or OPEN variant during the period from July 8, 2026 at 00:01 to July 20, 2026 at 23:59, acceptance of these promotion terms, consent to the processing of personal data by the Organizer and their sharing with entities from the Organizer's capital group, and consent to receive commercial information electronically as well as through telecommunication means (phone, SMS). At the same time, the participant in the Promotion undertakes not to withdraw the granted consents until the end of the promotion period, i.e. for the duration of the pass and the additional days granted within the Promotion.

4. The Promotion is available both to persons who currently have or previously had a BeActive pass and to persons who have never had a BeActive pass, provided that they meet the conditions specified in point 3 of these Terms.

5. The Promotion applies to a three-month COMFORT or OPEN BeActive pass available in the current BeActive offer. Details regarding the individual types of passes are available at www.ebeactive.pl in the "Offer" section.

6. Acceptance of these Terms and the store regulations is required in order to take part in the Promotion.

7. The discount granted within the Promotion cannot be exchanged for other Organizer services or for cash.

8. The Organizer declares that it is the controller of the personal data provided voluntarily by persons wishing to use the Promotion.

9. The Organizer protects the personal data provided to it and makes every effort to secure them against unauthorized disclosure or use.

10. A person wishing to use the Promotion consents to the processing of personal data by the Organizer for the purpose of enabling the use of services covered by the Promotion.

11. A person wishing to use the Promotion declares that they are in a state of health allowing them to use the services provided by the selected Fitness Club, that they are aware of the health risks associated with excessive physical exertion during exercise, and that they undertake to use the services of the selected Fitness Club in accordance with its internal regulations.
